The contract, in plain language.
These terms govern every sale Ion Labs makes. Placing an order constitutes acceptance of them in full. They are written to be read.
Acceptance
Submitting an order through ionhealthlabs.com constitutes acceptance of these Terms of Sale, the Research Use Policy, and the Privacy Policy in their then-current form. Continued use of the site after a posted revision constitutes acceptance of the revised terms.
What is being purchased
Each order is a sale of analytical reference standards as described on the corresponding product detail page. Materials are supplied subject to the restrictions described in the Research Use Policy. Nothing on the site constitutes a representation that any material is safe or suitable for human or veterinary administration.
Pricing and payment
Prices are stated in US dollars and are exclusive of applicable sales and use taxes. Payment is required in full at the time of order. Ion Labs accepts the payment methods presented at checkout. Prices, available quantities, and product specifications may change without notice.
Order acceptance
Display of a product on the site is an invitation to order, not an offer. Ion Labs may accept, decline, hold, or cancel any order in its sole discretion, including for stock shortages, pricing errors, suspected diversion, failed verification of the researcher attestation, or shipping restrictions. Declined orders are refunded in full.
Shipping and risk of loss
Shipping methods, transit times, and packaging are described on the Shipping page. Title and risk of loss pass to the purchaser on delivery to the carrier. Damage or shortage claims must be raised within 48 hours of delivery to be eligible for replacement.
Returns
Reference standards are not returnable once shipped. Material that arrives damaged, that is missing its certificate of analysis, or that fails its own COA on independent re-test is replaced at Ion Labs' cost. No other returns are accepted.
Use restrictions
The purchaser will not introduce purchased materials into a human or animal subject, will not resell or transfer materials for therapeutic use, and will not compound, formulate, or repackage materials as a pharmaceutical product. Breach of this clause voids all warranties and indemnification by Ion Labs and may give rise to claims for indemnification by the purchaser.
No warranties beyond specification
Materials are warranted only to meet the specifications stated on their certificate of analysis at the time of release. Ion Labs disclaims all other warranties, express or implied, including without limitation the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The purchaser is responsible for determining suitability of any material for its intended laboratory use.
Limitation of liability
To the maximum extent permitted by law, Ion Labs' aggregate liability arising from or relating to any sale is limited to the amount paid by the purchaser for the material giving rise to the claim. Ion Labs is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, loss of data, or loss of research output, regardless of the form of action.
Indemnification
The purchaser will indemnify, defend, and hold harmless Ion Labs, its officers, employees, and affiliates from any claim, loss, or expense arising from the purchaser's use of materials, breach of these terms, breach of the researcher attestation, or violation of any applicable law.
Governing law and venue
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising from or relating to a sale will be brought exclusively in the state or federal courts located in New Castle County, Delaware, and the parties consent to personal jurisdiction there.
Severability and entire agreement
If any provision of these terms is held unenforceable, the remaining provisions remain in full effect. These terms, together with the Research Use Policy and Privacy Policy, constitute the entire agreement between the purchaser and Ion Labs regarding the sale of materials and supersede any prior understanding.
Changes
Ion Labs may revise these terms by posting an updated version at this URL. The revision date is shown at the top of the page. Material changes will be summarized in the order confirmation email for the first order placed after the revision.
